Terms of service for using CabMind

1. Introduction and Parties
These Terms and Conditions (“Terms”) constitute the agreement between CabMind Ltd, registered in England & Wales, Company No. 16946896 (“CabMind”, “we”, “us”) and the taxi or private hire operator (“Operator”, “you”) who subscribes to the CabMind platform.
By subscribing to or using the Service, you agree to be bound by these Terms.
2. Definitions
“Service” means the CabMind AI booking platform, including WhatsApp, Text/SMS, Voice, and Web Chat booking agents and any associated integrations.
“Operator” means a licensed taxi or private hire company that subscribes to the Service.
“Customer” means a passenger who books a journey through the Service.
“Dispatch System” means the third-party dispatch or fleet management software integrated with the Service.
“Third-Party Platforms” means any external services used to deliver the Service, including dispatch and integration platforms, messaging platforms (such as WhatsApp/Meta), telephony providers, and AI service providers.
3. Service Description
CabMind provides AI-powered booking agents that enable Operators to receive and process bookings 24/7 through WhatsApp, Text/SMS, voice calls, and website chat. The Service integrates with supported Dispatch Systems to create bookings automatically on the Operator’s behalf.
4. Third-Party Platform Dependencies
4.1 The Service relies on Third-Party Platforms. CabMind is not liable for service interruptions, feature changes, or discontinuation caused by Third-Party Platforms outside our reasonable control.
4.2 WhatsApp and SMS messaging are delivered via third-party API providers subject to their own terms of service. CabMind will notify Operators of any material changes that affect the Service.
4.3 Dispatch system integrations are subject to the terms and technical constraints of the relevant dispatch platform. CabMind cannot guarantee compatibility with future versions of third-party software.
5. For Operators
5.1 Account Requirements
Operators must provide accurate business information, hold all licences required by their local licensing authority, and ensure the Service is used only for lawful private hire or taxi bookings.
5.2 Pricing and Payment
Operators agree to the subscription fees set out in their Order Form or onboarding agreement. A 1-month free trial is offered, followed by monthly billing. A minimum contract term of 3 months applies after the trial period.
5.3 Cancellation
Operators may cancel with 30 days’ written notice to info@cabmind.co.uk. Upon cancellation, access to the Service will terminate at the end of the notice period.
5.4 Acceptable Use
Operators must not use the Service to:
- Process bookings that are unlicensed, fraudulent, or otherwise unlawful
- Circumvent applicable licensing or regulatory requirements
- Send unsolicited or misleading communications to Customers
- Attempt to reverse-engineer, copy, or exploit any part of the platform
5.5 Operator Responsibilities
Operators are responsible for:
- Maintaining accurate pricing zones, fares, and availability in their Dispatch System
- Ensuring their Dispatch System integration remains functional
- Fulfilling every booking made through the Service
- Notifying CabMind promptly of any material changes to their business, licensing status, or dispatch system
- Complying with all applicable laws and regulations, including consumer protection and licensing requirements
6. Data Processing
6.1 Processing Roles
CabMind acts as a Data Processor on behalf of the Operator (who is the Data Controller) in respect of passenger and booking data processed through the Service. CabMind acts as a Data Controller in respect of its own operational and business data, as described in our Privacy Policy.
6.2 Data Processing Agreement
The processing of personal data is governed by a separate Data Processing Agreement (“DPA”) between CabMind and the Operator. The DPA forms part of the agreement between the parties. Operators should ensure the DPA is in place before sending Customer personal data to CabMind. To request a copy of the DPA, contact info@cabmind.co.uk.
6.3 Operator Data-Protection Duties
The Operator warrants that it:
- Has a valid lawful basis under UK GDPR to collect and share Customer data with CabMind for the purpose of processing bookings
- Has provided Customers with adequate privacy information (including about the use of AI booking agents and third-party platforms)
- Will comply with its obligations as Data Controller under UK GDPR and the Data Protection Act 2018
- Will notify CabMind immediately of any actual or suspected personal data breach relating to data processed through the Service
7. Service Availability
7.1 CabMind aims to provide the Service 24/7 and targets 99% uptime on a monthly basis, but does not guarantee uninterrupted availability.
7.2 Planned maintenance will be communicated with at least 24 hours’ notice where practicable. Emergency maintenance may be carried out without advance notice.
7.3 CabMind is not liable for downtime or degraded performance caused by Third-Party Platforms, internet outages, or events outside our reasonable control (including force majeure events).
8. Suspension and Termination
8.1 CabMind may suspend access to the Service immediately if: (a) the Operator breaches these Terms and fails to remedy the breach within 7 days of written notice; (b) there is evidence of fraudulent, illegal, or harmful use of the Service; or (c) payment is overdue by more than 14 days.
8.2 Either party may terminate these Terms on written notice if the other party becomes insolvent, enters administration, or ceases trading.
8.3 On termination for any reason, the Operator’s access to the Service will be revoked and Customer data processed under the DPA will be deleted or returned in accordance with the DPA.
9. For Customers
When you book through CabMind’s AI agents, you are entering into a contract with the taxi or private hire operator, not with CabMind. The operator is responsible for your journey and their own terms of service apply. CabMind acts as a booking technology provider only.
10. Intellectual Property
All software, algorithms, content, and technology underlying the Service are the exclusive property of CabMind or its licensors. Operators are granted a limited, non-exclusive, non-transferable licence to use the Service solely for lawful booking management purposes during the term of their agreement.
11. Limitation of Liability
11.1 To the fullest extent permitted by law, CabMind’s total aggregate liability to an Operator for all claims arising under or in connection with these Terms shall not exceed the total fees paid by the Operator to CabMind in the 12 months preceding the claim.
11.2 CabMind is not liable for: (a) actions or omissions of Operators, drivers, or Customers; (b) booking failures caused by Third-Party Platform outages, changes, or incompatibilities; (c) indirect, consequential, special, or exemplary losses, including loss of profit, revenue, data, or goodwill; (d) any claim arising from the Operator’s failure to comply with its own data-protection, licensing, or regulatory obligations.
11.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
12. Complaints and Disputes
12.1 If you have a complaint about the Service, please contact us at info@cabmind.co.uk. We aim to respond within 5 business days.
12.2 These Terms are governed by the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. Operators will be notified of material changes by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
